Terms of Service
Effective Date: November 1, 2025 · Last Updated: November 1, 2025
These Terms of Service ("Terms") are a legal agreement between you ("you," "User") and Tudu Next Inc. ("Tudu," "we," "us," or "our") governing your access to and use of our websites, apps, extensions, and related services (collectively, the "Services"). By using the Services, you agree to these Terms and our Privacy Policy.
If you do not agree, do not use the Services.
1. The Services
Tudu is a productivity platform that captures and organizes digital content (e.g., links, screenshots, social posts) and uses AI to extract metadata and generate structured "Tudu Cards." The Services may change over time and may include experimental or "Beta" features provided as is.
2. Eligibility & Accounts
- You must be 16 years of age or older (or the minimum age in your jurisdiction, if higher).
- Provide accurate registration information and keep it updated.
- You're responsible for your credentials and all activity on your account. Notify us of unauthorized use immediately.
3. Free Service; Future Paid Options & Creator Content
The Services are free for now. We may introduce premium options and a creator marketplace that lets you purchase premium content from creators or support them.
If and when fees apply, we'll disclose pricing, features, and billing terms before you're charged.
For creator transactions: payments are processed by third-party processors; you may need to pass KYC/AML checks. Creators are responsible for their taxes. We may use holds, reserves, or chargeback offsets to manage risk and fraud. Except where required by law or stated in a specific marketplace policy, purchases are final.
4. Your Content & Licenses
Ownership: You retain ownership of content you submit, upload, or link through the Services ("User Content").
License to Tudu: You grant Tudu a worldwide, non-exclusive, royalty-free license to host, process, reproduce, transform, and display User Content solely to operate, provide, and improve the Services (including collaboration features and integrations you enable).
Derived & De-Identified Data (Tudu Cards): We may generate Tudu Cards and other derived artifacts from User Content and usage. We may own or use these derived items once they are stripped of personal identifiers (PII) and cannot reasonably be used to identify you. We may use such de-identified and/or aggregated data to improve the Services and for analytics and business insights.
Feedback: Suggestions are welcome; you grant us a perpetual, irrevocable, royalty-free license to use them.
Compliance: You represent you have all necessary rights to User Content and that your submission and use comply with laws and third-party rights.
5. AI Features & Outputs (No Medical/Financial/Legal Reliance)
The Services use AI to generate content and structure data ("AI Outputs"). AI Outputs may be inaccurate, incomplete, or misleading. Tudu does not provide medical, financial, or legal advice, and you must not rely on AI Outputs for those purposes. You're responsible for verifying outputs before use, especially for critical decisions.
6. Third-Party Services & Integrations
If you connect third-party services, your use of them is governed by their terms and privacy policies. We're not responsible for third-party services and may disable integrations that pose risk or violate law.
7. Acceptable Use
You agree not to:
- Violate laws or third-party rights (IP, privacy, publicity).
- Upload or share unlawful, harmful, defamatory, deceptive, or obscene content; or content exploiting minors.
- Introduce malware, attempt to bypass security, scrape in a manner that degrades service, or interfere with the Services.
- Misrepresent identity, spam, or attempt to gain unauthorized access to data or accounts.
- Use the Services to train competing foundation models or similar products without our written permission.
We may monitor for abuse and suspend or terminate accounts for violations.
8. Intellectual Property; Tudu Materials
The Services, software, UI, documentation, templates, and trademarks are owned by Tudu and its licensors. Except for rights expressly granted in these Terms, no license is granted. You may not copy, modify, reverse engineer, or create derivative works of the Services.
9. Privacy; Data Deletion
Your use is subject to our Privacy Policy.
- User info deletion: Upon request or account closure, we can delete your personal information consistent with the Privacy Policy and applicable law.
- Retention of Tudu Cards: We may retain and use de-identified Tudu Cards and other de-identified or aggregated data that do not contain PII and cannot reasonably identify you.
10. Security
We use industry-standard measures to protect the Services, but no system is perfectly secure. You are responsible for securing your devices and accounts and for promptly reporting security incidents.
11. Plans, Billing & Taxes (If/When Introduced)
If premium plans launch in the future:
- Plans may auto-renew until canceled; we'll disclose pricing and intervals.
- We may change prices or features prospectively with notice.
- Except where required by law or stated otherwise, fees are non-refundable once a billing period begins.
- You're responsible for taxes; we may collect where required.
12. Enterprise & Compliance (Standard Language)
If you require additional terms (e.g., DPA, Standard Contractual Clauses, security addenda, or SLA), contact us. We may provide standard forms subject to mutual agreement. Unless a separate signed agreement applies, these Terms control.
13. DMCA / Copyright
If you believe material on the Services infringes your copyright, send a notice to leor@tudunext.com including:
- (a) your contact info;
- (b) identification of the copyrighted work;
- (c) identification/URL of the allegedly infringing material;
- (d) a statement of good-faith belief;
- (e) a statement under penalty of perjury that the information is accurate and you're authorized to act; and
- (f) your physical or electronic signature.
We may remove content and terminate repeat infringers.
14. Disclaimers
THE SERVICES AND AI OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, TUDU DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT UNINTERRUPTED, SECURE, OR ERROR-FREE OPERATION, OR THE ACCURACY OR COMPLETENESS OF AI OUTPUTS.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TUDU AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. IN ALL CASES, TUDU'S TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNTS YOU PAID TO TUDU (IF ANY) IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. Some jurisdictions do not allow certain limitations; those limits apply only to the extent permitted.
16. Indemnification
You will defend, indemnify, and hold harmless Tudu and its affiliates, officers, agents, and employees from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your User Content; (b) your use of the Services or AI Outputs; (c) your violation of these Terms or law; or (d) a dispute between you and a third party.
17. Suspension & Termination
We may suspend or terminate your access if we reasonably believe you violated these Terms, pose risk or legal exposure, or if required by law. You may cancel anytime via your account settings. Provisions that by their nature should survive (e.g., 3–6, 8–16, 18–21) will survive termination.
18. Export & Sanctions
You must comply with applicable export, re-export, and sanctions laws. You may not use the Services if you are in an embargoed country or on a restricted-party list.
19. Government Use
The Services and documentation are "commercial items." Government use is subject to these Terms.
20. Governing Law & Venue (Delaware)
These Terms are governed by Delaware law without regard to conflict of laws principles. Disputes will be resolved in state or federal courts in Delaware.
21. Changes to the Terms
We may modify these Terms. Material changes will be posted in-product or via email. Changes become effective upon posting unless stated otherwise. Your continued use after the effective date constitutes acceptance.
22. Miscellaneous
- Entire Agreement: These Terms and our Privacy Policy form the entire agreement.
- Severability: If a provision is invalid, the remainder remains in effect.
